Abstract: Drawing on the uniqueness of the Chinese control-based corporate governance model, this article comments on the importance of stakeholder consideration and various methods of protecting the interests of stakeholders in corporate governance in China. In order to match internationally competitive levels for companies' ethical and social responsible performance, adjustments need to be made to the structure of corporate governance and the role of governmental authorities should not be overlooked.
